The short version
This summary is here to help you read what follows. The full Terms below are what count.
- Gratora sells the plans and runs gratora.net. You can reach us at support@gratora.net.
- The Gratora plugin is free and open source (GPL). A paid plan gives you the add-ons in that plan, a license key, a year of updates and downloads, and support for those add-ons.
- Plans are billed yearly, in US dollars ($199, $399 or $599) or in euros (€179, €349 or €529). We normally show euros in the European Union and the European Economic Area and US dollars everywhere else, and you can switch. The price shown is the total you pay; we add nothing for tax.
- Plans renew automatically each year, in the currency you bought in, until you cancel. A renewal costs the same yearly price as your purchase, without any discount that applied only to your first payment, unless we email you about a new price at least 30 days before. We email you about 40 days and again about 7 days before each renewal.
- 14-day money-back guarantee. Ask within 14 days of a purchase, a renewal or an upgrade and we refund that payment in full. You do not need to give a reason. If you buy a plan twice by mistake and have not activated the extra license on a site your other license does not already cover, we refund it whenever you tell us.
- You can cancel at any time, in your account or at gratora.net/cancel/. Your plan then runs to the end of the year you paid for, and then your license expires. If you are a consumer and your plan has renewed at least once, you can also end it early and get back the whole months left.
- The add-ons you install keep working even after your license ends. When a license expires, updates and downloads continue for 21 more days, then stop. After a refund of a purchase or a renewal, or a withdrawal from one, they stop right away. Support for the add-ons comes with an active license.
- If you are a consumer in the European Union, the European Economic Area or the UK, the law also gives you 14 days to withdraw from the contract. Our guarantee gives you the same 14 days and the same full refund, and you can use either.
- The law of the country where Gratora is established applies. If you are a consumer, you keep the protection of the law of the country where you live, and you can go to court there.
1. Who we are and how to reach us
We are Gratora. We sell the plans described in these Terms and run the gratora.net website. You can reach us:
- by email at support@gratora.net;
- through the support desk at gratora.net/support/; and
- through the contact form at gratora.net/contact/.
In these Terms, “Gratora”, “we”, “us” and “our” mean the seller of Gratora plans and operator of gratora.net. “You” means the person or organization using our website or services or buying a plan.
2. About these Terms
2.1 What they cover. These Terms apply to:
- the gratora.net website, your Gratora account and our support desk;
- how we deal with users of the free Gratora plugin, as section 4 describes (the GPL governs the plugin itself);
- free add-ons we offer for download without a plan, such as our importer; and
- our paid plans, the add-ons they include, and the license key, update and download service that comes with them.
Our Privacy Policy at gratora.net/privacy/ explains how we handle personal data. The GNU General Public License (GPL) governs the software code itself (section 15).
2.2 Consumers and business customers. A “consumer” is an individual who buys for purposes outside their trade, business, craft or profession. A “business customer” is anyone else, including charities, associations, foundations, companies, agencies and freelancers buying for their work. Some parts of these Terms apply only to consumers or only to business customers, and say so. Nothing in these Terms takes away any right a consumer has by law.
2.3 Buying for an organization. If you buy a plan for an organization, you confirm that you are allowed to do so on its behalf. The organization is then the customer.
2.4 Age. You must be at least 18 years old and able to enter into a binding contract to buy a plan.
2.5 Language. These Terms, and the contract made under them, are in English.
3. The website, your account and the support desk
3.1 Your account. You get a Gratora account when you sign up at gratora.net, buy a plan, or write to our support desk. Your account is tied to your email address.
3.2 Signing in. There is no password. We email you a sign-in link, and that link is how you sign in. Anyone who can read your email can open your account, so keep your email account secure and do not forward sign-in links to anyone. Tell us right away if you think someone else has used your account. You can sign out from the account page, which stops that link from working.
3.3 Changing your email address. Write to us and we will move your account, licenses and requests to the new address.
3.4 Service emails. We send you the emails needed to run your account and plan: sign-in links, signup confirmations, purchase confirmations, notices before each renewal, confirmations of renewals, cancellations, plan changes and scheduled plan changes, notices when a renewal payment fails and when a plan has ended, acknowledgments of withdrawal, cancellation and refund requests, acknowledgments of and replies to your support requests, and, after a request is resolved, a request to rate our help and one reminder, unless you ask us not to send them. Stripe, our payment provider, sends its own emails about payments, such as receipts and refund receipts. None of these are marketing. We do not send newsletters or marketing email.
3.5 Using the site. You may use the website and the support desk for their intended purpose. Section 14 lists what is not allowed.
4. The free Gratora plugin and free add-ons
4.1 Free software. The Gratora plugin is free. It is distributed through WordPress.org under the GNU General Public License, version 2 or any later version. You can use it on any number of sites without a plan.
4.2 It runs on your site. The plugin runs on your own server. It does not send your data or your donors’ data to us. You are responsible for your installation, for your donors’ personal data, and for following the laws that apply to your fundraising, such as data protection, charity registration and donation receipt rules.
4.3 Donations. Donations made through the plugin and add-ons are processed by the payment providers you connect, under your own accounts with them. Gratora is not a party to your donations and does not receive or hold donation money. We are not responsible for your payment providers’ services, fees or decisions.
4.4 No warranty for the free plugin. Because the plugin is free, it is provided “as is”, without any warranty, to the extent the law allows, as the GPL also says. This does not limit any right you have by law that cannot be excluded.
4.5 Free add-ons. Add-ons we offer for download without a plan, such as our importer, need no license key and are covered by sections 4.2 to 4.4 and 17.3 in the same way as the plugin.
5. Paid plans and add-ons
5.1 The plans
- Gratora Standard. Add-ons included: Payment Gateways, Conversion Tracking, Connect, Tributes, Gift Aid. Sites: 1. Price in US dollars: $199 a year (about $16.58 a month). Price in euros: €179 a year (about €14.92 a month).
- Gratora Advanced. Add-ons included: Everything in Standard, plus Peer-to-Peer, Event Tickets and AI Assistant. Sites: 1. Price in US dollars: $399 a year (about $33.25 a month). Price in euros: €349 a year (about €29.08 a month).
- Gratora Elite. Add-ons included: The same add-ons as Advanced. Sites: 5. Price in US dollars: $599 a year (about $49.92 a month). Price in euros: €529 a year (about €44.08 a month).
Plans are billed once a year, in the currency you choose (section 6.2). Add-ons are not sold on their own. Prices on our pricing page may change for new purchases (section 7.3). The price that applies to your purchase is the one shown on the payment page before you pay.
You can cover more sites by buying a plan in a larger quantity (up to 25) in the cart. For example, a quantity of 2 of Gratora Standard gives you one license for 2 sites, at twice the price.
5.2 What a plan includes
While your license is active, your plan includes:
- The add-ons in your plan, which you can download from your account at gratora.net/account/.
- A license key. One key activates every add-on in your plan.
- Updates for the add-ons in your plan, delivered through the WordPress updates screen of each site your plan covers.
- Support for the add-ons in your plan (section 13).
Each plan runs for one year at a time and renews automatically (section 7).
5.3 Sites
- How many. Your plan covers the number of sites shown for it, multiplied by the quantity you bought. The limit is counted separately for each add-on: on a 1-site plan, each add-on in the plan can be activated on one site.
- What counts as a site. A site is one WordPress site address. We ignore “http” or “https”, a leading “www.” and the port number, so example.org and www.example.org are the same site. A path makes a different site, so example.org/blog and example.org are two sites.
- Local and staging sites do not count. These addresses never use up a place: localhost, 127.0.0.1 and [::1], with or without a port or a path; addresses ending in .local, .test, .localhost, .invalid or .example; and addresses starting with staging., stage., dev., test. or preview. (for example staging.example.org). Any other address counts as a site, even if you use it for testing, for example a staging address your hosting company gives you.
- Moving to another site. Removing the license key from a site, or deactivating or deleting an add-on there, frees that site’s place, as long as the site can reach gratora.net at that moment. If the old site is gone or offline, deactivate it in your account under Licenses instead. A site that still has the key takes its place back at its next check, so remove the key there first.
- Sites over the limit. A site beyond your plan’s limit is not covered by your plan. It is not entitled to updates, downloads or support for the add-ons. Add-ons already installed on it keep working.
5.4 Updates, and how long we provide them
We provide updates for the add-ons in your plan, including security updates and fixes, for as long as your license is active, and for 21 days after it expires (the grace period, section 8.3). Updates may also bring new features, but we do not promise any particular new feature.
Please install the updates we make available, especially security updates. If you do not install an update within a reasonable time after we told you it is available and what happens if you do not install it, we are not responsible for a problem caused solely by the missing update, unless our installation instructions were at fault.
5.5 How the license check works
Each site with your license key contacts gratora.net to check the license and to look for updates: when you save the key, about every 12 hours after that, and when WordPress checks for updates. It also contacts us to free its place when you remove or replace the key, or deactivate or delete an add-on. Each check sends the key, the site’s address, and which Gratora add-ons are installed and their versions. Like any web request, it also shows us the server’s IP address and the WordPress version. Our Privacy Policy explains how we use this.
The license key controls updates, downloads and support. It does not control whether installed add-ons run: they keep working if a check fails, if our server cannot be reached, or after a license ends. The one exception is the AI Assistant add-on’s support tools (the site check, the error log and opening a support ticket from your site). They work while a license is active, in its grace period or expired, and stop when a license is ended by a refund, a withdrawal or by us (section 14). Support for the add-ons itself needs an active license (section 13.1).
5.6 Requirements
The add-ons need a self-hosted WordPress site with the free Gratora plugin installed. On the date of these Terms, they need WordPress 7.0 or later, PHP 8.1 or later and Gratora 1.0.0 or later. Later versions of an add-on may need newer versions of these; each version states its own requirements.
5.7 Add-ons that work with other services
Some add-ons connect your site to services run by other companies, using accounts and credentials you set up with them. Those companies’ own terms and prices apply, and we do not control their services.
- AI Assistant works with the AI provider you choose, using your own API key. You pay the provider for your use. AI answers can be wrong, so check them before you rely on them or let them change anything.
- Payment Gateways connects to payment providers under your own merchant accounts.
- Conversion Tracking sends events from your site to your own analytics and advertising accounts. You are responsible for asking your visitors for consent where the law requires it.
- Connect sends data from your site to the tools and webhook addresses you configure.
- Gift Aid helps you collect Gift Aid declarations. You remain responsible for your declarations and for your claims to HMRC.
6. Buying a plan
6.1 How the contract is made
- Choose a plan on the pricing or add-ons page. It is added to your cart.
- In the cart, check the plan, the number of sites and the price. You can enter the email address for your receipt and license key.
- Select Checkout. You go to a secure payment page run by Stripe, our payment provider. Enter your payment details, check the order summary, accept these Terms, and select the pay button.
- The contract is made when Stripe accepts your payment. You then see our confirmation page.
- We then email you your license key, the details of your order and a copy of these Terms.
You can correct mistakes before you pay: change the cart, or leave the Stripe page and go back. We keep a record of your order and of the version of these Terms you accepted. You can see your orders in your account under Billing, and we will send you the version of these Terms you accepted at any time if you ask.
Each purchase is a separate license. Every checkout creates its own license, with its own key and its own yearly renewal. To change a plan you already have, use the Plan tab in your account instead (section 9).
6.2 Prices, currency and taxes
Currency. Every plan is sold in US dollars and in euros, at the prices in section 5.1. We normally show euro prices to visitors in the European Union and the European Economic Area, and US dollar prices to everyone else. Whichever you see, you can switch on our pricing page or in your cart, and anyone may buy in either currency. You pay in the currency shown when you check out.
Your plan then stays in that currency: it renews, and any change to it is charged, in the currency you bought it in. To pay in the other currency, cancel your plan (section 8.1) and buy a new one in that currency when it ends, or ask us to help.
Tax. The price shown for a plan on our website and on the Stripe payment page is the total amount we charge you. We add nothing to it for tax: any tax we owe on your purchase is included in that price. If you are a business customer and the law makes you account for a tax on your purchase yourself (for example, VAT under the reverse charge), that is your responsibility.
The total shown on the Stripe payment page, before you select the pay button, is the amount you pay. If your card is in another currency, your bank may charge you for currency conversion. Those charges are between you and your bank.
6.3 Payment, receipts and invoices
You pay by card through Stripe. Your payment details go directly to Stripe; we never see or store your full card number. Stripe emails you a receipt for each payment. Your invoices and receipts are in your account under Billing.
6.4 Promotion codes
If we offer a promotion code, the conditions of the offer are shown with it, including whether the discount applies only to the first payment or also to renewals. Promotion codes cannot be used on plan changes.
7. Renewal
7.1 Automatic renewal. Your plan renews automatically every year, on the anniversary of your purchase, until you cancel. By completing checkout, you authorize us, through Stripe, to charge your payment method for each renewal. Each renewal extends your plan by one year.
7.2 Renewal price and notices. Your plan renews in the currency you bought it in, at the same yearly price as when you bought it, not counting any discount that applied only to your first payment, unless we change it under section 7.3. About 40 days before each renewal, and again about 7 days before it, we email you the renewal date, the amount (including any new price, or the end of a first-payment discount), and how to cancel. If you do not want the renewal, cancel before the renewal date. If it goes through anyway, you can still get a full refund within 14 days (section 10).
7.3 Price changes. We may change the prices of our plans for new purchases at any time. For a plan you already have, a new price applies only from a renewal, and only if we have emailed you about it at least 30 days before that renewal, saying how to cancel. If you do not accept the new price, cancel before the renewal. The 14-day refund after a renewal also applies.
8. Canceling, failed payments, and when a license ends
8.1 Canceling
You can cancel at any time, in any of these ways:
- in your account, under Billing: select Manage in Stripe and cancel your plan (while a plan change is booked, Billing cannot cancel: first keep your current plan on the Plan tab, or use the cancel page);
- on our cancel page at gratora.net/cancel/ (“Cancel contracts here”), which works without signing in; or
- by asking us through the support desk or by email.
We confirm every cancellation by email, with the date your plan ends.
Canceling stops the next renewal. Your plan and license stay active until the end of the year you have paid for. Then the license expires, as described in section 8.3. Until that date you can undo a cancellation at the end of your paid year by turning renewal back on in Billing.
Canceling by itself does not refund the current year. If you are within 14 days of a purchase, renewal or upgrade, you can ask for a refund as well (section 10).
Ending a renewed plan early (consumers). If you are a consumer, after your plan has renewed automatically at least once, you can end it at any time, effective at the end of the current month of your plan year. We refund the whole months left in your paid year within 14 days of your request, to the payment method you used, in the currency you paid. Months are counted from your renewal date. For example, if Gratora Standard renewed on 10 January for $199 and you ask on 20 March, your plan ends on 9 April and we refund 9 months, which is $149.25 (for a plan that renewed for €179, it is €134.25). To do this, say so on the cancel page or in a message to us. Your license then expires on that date, as described in section 8.3.
8.2 Failed payments
If a renewal payment fails, Stripe tries it again over the following days, and we email you so that you can update your card in Billing. Your updates keep working while Stripe is still trying. If no attempt succeeds, your plan ends and your license expires as of the renewal date. Updates then continue only until 21 days after that date.
8.3 What happens when a license expires or ends
- Active. When: Paid and within its year. Installed add-ons: Keep working. Updates and downloads: Yes.
- Grace period. When: Up to 21 days after your plan ends, including while Stripe is retrying a renewal payment. Installed add-ons: Keep working. Updates and downloads: Yes.
- Expired. When: More than 21 days after your plan ended. Installed add-ons: Keep working. Updates and downloads: No.
- Ended. When: After a refund of a purchase, a renewal or a duplicate, or a withdrawal (sections 10.4 and 11), or when we end the license under section 14. Installed add-ons: Keep working. Updates and downloads: No, from that moment.
A refund of an upgrade does not end the license. It returns the license to your previous plan (section 10.4).
Support for the add-ons comes with an active license. Whatever the status of your license, you can still ask us about your account, about renewing, and about the free plugin.
To start again after a license has expired or ended, buy a new plan. It comes with its own new license key.
9. Changing your plan
You can change your plan in your account, on the Plan tab. The account shows you what a change will cost before you confirm it.
- Changes that raise your yearly total (moving to a higher plan, or a larger quantity) apply right away. You pay the difference for the rest of your current year, worked out by Stripe to the second and charged at once. Your renewal date stays the same. Your plan changes only once that payment succeeds.
- Changes that lower your yearly total (moving to a lower plan, or a smaller quantity) apply at your next renewal. There is no refund or credit for the rest of the current year, and you keep your current plan until then. For example, Advanced for 2 sites ($798 or €698 a year) to Elite ($599 or €529 a year) lowers your yearly total.
- Prices. Changes are priced and charged in the currency your plan is billed in (section 6.2). Changing only the quantity keeps the price you pay for each one today. Changing to another plan moves you to that plan’s current price in that currency.
- If the new plan covers fewer sites than you use. When the change applies, each add-on keeps the sites that checked in with it most recently, up to the new limit. The other sites are released: their add-ons keep working, but they get no more updates. To choose which sites stay, remove the key from the others first, or deactivate them in your account if they no longer have the key. Local and staging sites never count.
- Limits. You cannot change your plan while a cancellation is pending or a payment is overdue, and only one change can wait at a time. Promotion codes cannot be used on plan changes.
- Refunds. You can get the payment for a change that raised your yearly total refunded within 14 days (section 10).
10. Refunds: our 14-day money-back guarantee
This guarantee applies to every customer, consumers and business customers alike.
10.1 What we refund
- New purchases. Each checkout creates its own license (section 6.1). Ask within 14 days after the day you bought it and we refund that purchase in full. You do not need to give a reason.
- Renewals. Ask within 14 days after the day a renewal was charged and we refund that renewal in full.
- Upgrades. Ask within 14 days after the day we charged you for a change that raised your yearly total (section 9) and we refund that charge in full. Your license goes back to the plan you had before, with its add-ons and sites, and keeps its renewal date.
- Accidental duplicate purchases. If you bought a plan twice by mistake, for example two checkouts for the same plan and the same site, we refund the extra purchase in full whenever you tell us. A duplicate is a second license you did not mean to buy and have not activated on any site your other license does not already cover.
When the 14 days end. The 14 days start on the day after the payment. You can ask until the end of the 14th day. If that day is a Saturday, a Sunday or a public holiday where you live, you can ask until the end of the next working day.
10.2 How to ask
Use any of these:
- in your account, the “Withdraw from contract here” button next to the purchase, which is shown at least until the 14 days end after each purchase, renewal and upgrade;
- the form at gratora.net/withdraw/, which works without signing in;
- a support request at gratora.net/support/ or an email to support@gratora.net.
Any clear message is enough. You may use the model form at the end of these Terms, but you do not have to. It is enough that you send your request before the 14 days end. We confirm that we have received it by email.
10.3 How we pay it
We refund the full amount of that payment, in the currency you paid and including any tax, to the payment method you used, through Stripe. We do not charge you anything for the refund. We send it without undue delay and at the latest 14 days after we receive your request. Depending on your bank, it can take a few more days to appear.
10.4 What a refund does
- A refund of a purchase, a renewal or a duplicate ends that license right away and cancels its renewal. Updates, downloads and support for the add-ons stop, and so do the AI Assistant’s support tools (section 5.5). The add-ons you installed keep working: they are free software under the GPL, and you may keep using them under it.
- A refund of an upgrade returns the license to your previous plan. Add-ons that were only in the higher plan stop receiving updates and downloads, but keep working where they are installed. If your previous plan covers fewer sites, the rule in section 9 decides which sites keep their places.
10.5 After 14 days
After the 14 days, payments are not refundable, except:
- for accidental duplicates (section 10.1);
- when a consumer ends a renewed plan early (section 8.1); and
- where the law requires a refund, for example when an add-on does not work as described and we cannot fix it (section 12), when we change the add-ons or these Terms in a way that entitles you to end the contract (sections 16 and 18), or when we end a consumer’s license (section 14.2).
Canceling stops future renewals (section 8.1).
11. Your right of withdrawal (consumers in the EU, the EEA and the UK)
If you are a consumer living in the European Union or the European Economic Area, the law gives you the right set out below. Our guarantee in section 10 gives you the same 14 days and the same full refund, and a request under either one is handled the same way.
Right of withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us (Gratora, email support@gratora.net) of your decision to withdraw from this contract by an unequivocal statement (for example, an email). You may use the model withdrawal form below, but it is not obligatory.
You can also exercise your right of withdrawal online, in your account at gratora.net/account/ under Licenses (“Withdraw from contract here”), or at gratora.net/withdraw/. If you use this online feature, we will send you an acknowledgment of receipt of the withdrawal on a durable medium (by email), including its content and the date and time of its submission, without undue delay.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
What this means with Gratora:
- You keep this right even if you have already downloaded, activated or used the add-ons, and you pay nothing for that use. We do not ask you to give up this right at checkout.
- The 14 days are counted as in section 10.1, and a withdrawal ends the license in the same way as a refund (section 10.4).
- Our guarantee also gives you 14 days after each renewal and each upgrade (section 10.1).
- Consumers living in the UK have an equivalent right to cancel under UK law. It works in the same way, and you can use it through the same channels.
12. If something is wrong with an add-on
12.1 Consumers. The law gives you rights, separate from our 14-day money-back guarantee, if the add-ons you pay for do not match their description, are not fit for the purposes such software is normally used for, or do not come with the updates we have promised, including security updates, for the whole time your plan runs. If an add-on falls short in any of these ways, tell us. We will bring it into line with the contract, usually through an update, free of charge and within a reasonable time. If we cannot or do not, or if the problem is serious, you may ask for a proportionate price reduction, or end the contract. If you end it, we refund the price for the time the add-on was not in line with the contract, plus the part of your paid year that is left, within 14 days, to the payment method you used, in the currency you paid, free of charge. Nothing in these Terms limits these rights. Consumers in the UK have equivalent rights under UK law.
12.2 Business customers. We supply the add-ons as described on our website. Apart from that, and from any rights the law does not allow us to exclude, we give no other promises about the add-ons, whether express or implied.
12.3 For everyone. Software can have faults. We do not promise that the add-ons are free of every error, that they work with every theme, plugin, host or outside service, or that they will raise any particular amount of money. Keep regular backups of your site. This section does not limit the rights in 12.1.
13. Support
13.1 Who can ask. Anyone can ask us about the free plugin, with or without a plan. Support for the add-ons is included in an active plan.
13.2 What add-on support covers. Help with installing, activating and setting up the add-ons in your plan; questions about how they work; bug reports, which we fix through updates where needed; and questions about your license, billing and account.
13.3 What it does not cover. Writing custom code or changing how an add-on works for you; problems caused by other plugins, themes, custom code, hosting or outside services (we will tell you if we find one); setting up your accounts with payment providers or other services; building or running your website; and legal, tax or fundraising advice.
13.4 How to reach us. Through the support desk at gratora.net/support/, the Requests tab in your account, by email to support@gratora.net, or with the AI Assistant add-on’s “open a support ticket” command, which sends us a technical report about your site after you confirm. Support is given in English and in writing.
13.5 AI in support. We use an AI model to help sort requests by topic and urgency, and to help us draft answers. A person reviews every answer before it is sent to you. You can ask us not to use AI on your requests; our Privacy Policy explains how.
13.6 What to send us. Send only what we need to help you. Please leave your donors’ personal details out of messages, screenshots and files where you can. Do not send us lists of donors, or anything that shows a donor’s religion or health (for example, a named donor’s donations to a church).
13.7 Personal data about your donors that you send us. If you send us personal data about your donors, fundraisers or attendees in a support request, we handle it for you, as your processor, under these rules:
- we use it only to handle that request, following your instructions in it, and for nothing else, unless the law requires us to;
- only the people who handle your request can see it, and they must keep it confidential;
- we protect it as described in section 15 of our Privacy Policy;
- the service providers that help us handle support requests may process it for us: Hetzner (hosting, Germany), Anthropic (AI help, United States, unless you switch AI off), Resend (email, United States), Cloudflare (incoming email, United States), GitHub (searches using request subject lines, United States, unless you switch AI off) and our mailbox provider, Google (Gmail). Our contracts with them give the same protection, and transfers outside the EU are covered as section 6 of our Privacy Policy describes. We will tell you before we add or replace one of them, and you may object;
- we help you answer your donors’ requests to use their data protection rights, and help you with your own duties on security, breaches and impact assessments, as far as our part allows;
- we tell you without undue delay if we become aware of a breach affecting that data;
- we delete it on the schedule in section 7 of our Privacy Policy, or sooner if you ask; and
- we give you the information you need to show that these rules are followed, and allow reasonable audits by you or an auditor you choose.
You are responsible for having a lawful basis to share that data with us.
14. Fair use, and when we may end a license
14.1 What is not allowed. When you use our website, account, license service or support desk, you must not:
- share your license key outside your organization, or publish it;
- try to get updates, downloads or support for more sites than your plan covers, for example by disguising site addresses;
- attack, overload, scan or try to break into our website, license server or support desk, or try to get around their limits;
- upload malware, unlawful content, or personal data you have no right to share;
- abuse or harass us or anyone who helps us; or
- resell or pass on access to our downloads, updates or support without our written agreement. The GPL lets you share the code; it does not let you share your license key or our services.
14.2 What we may do. If you break section 14.1 in a serious way, or keep breaking it after we have asked you to stop, or if a payment for your plan is reversed (for example through a chargeback) or turns out to be fraudulent, we may replace your license key, suspend your license, or end it. We will tell you why. Where it is reasonable, we will warn you first and give you a chance to put things right. Installed add-ons keep working. If we end a consumer’s license for a reason other than fraud or a reversed payment, we refund the part of the year not used, within 14 days, to the payment method you used, in the currency you paid. If you are a consumer, your rights under the law still apply.
15. Software licenses and our name
15.1 GPL. The Gratora plugin and every add-on are licensed under the GNU General Public License, version 2 or any later version. Nothing in these Terms limits the rights the GPL gives you over the code. What a plan pays for is our service: downloads from your account, updates, the license key service and support. Some add-ons contain components from other authors, which come under their own open source licenses.
15.2 Our name and logo. The GPL covers the code, not the Gratora name or logo. You may say, truthfully, that your site uses Gratora. Do not use our name or logo in a way that suggests your product, service or organization is ours or is endorsed by us.
16. Changes to the add-ons and the service
16.1 Improvements. We keep improving our software, and updates may change how features work.
16.2 Other changes during your paid year. We may make changes beyond keeping the add-ons working and secure only for a valid reason, such as a security problem, a change in the law, a change to or the end of an outside service an add-on depends on, or a change in the technical environment the add-ons run in, such as WordPress or PHP. Such changes cost you nothing extra during your paid year.
16.3 Notice, and your right to end the contract. If a change during your paid year removes an add-on from your plan, or otherwise affects your access to or use of an add-on more than slightly, we will email you at least 30 days before it takes effect, unless a security problem or the law requires a faster change, in which case we will tell you as soon as we can. Our email will say what changes, when, and, if you are a consumer, that you may end the contract. If you are a consumer, you may then end the contract, free of charge, within 30 days of our email or of the change, whichever is later, and we will refund the part of the year you have not used, within 14 days, to the payment method you used, in the currency you paid.
17. Liability
17.1 Consumers. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable when the contract was made. We are also not responsible for loss to the extent it was caused by other software, hosting or services you use, or to the extent you could reasonably have avoided it, for example by installing an update as described in section 5.4 or by keeping backups.
17.2 Business customers. We are not liable for indirect or consequential loss, or for loss of profit, revenue, donations, data or goodwill. Our total liability to you for all claims arising from a plan is limited to the total amount you paid us for the plan in the 12 months before the event that caused the claim.
17.3 The free plugin. Because the plugin is free, and to the extent the law allows, we are not liable for any loss arising from its use.
17.4 What we never limit. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, for liability under product liability law, for damage we cause intentionally or through gross negligence, or for anything else the law does not allow us to limit or exclude.
18. Changes to these Terms
We may update these Terms for a valid reason, such as a change in the law, a change to our products or services, or to make them clearer. We publish every new version at gratora.net/terms/ with its effective date.
If you have an active plan and a change affects you, we will email you at least 30 days before it applies to you. The change then applies from your next renewal after that notice. If you do not accept it, you can cancel before that renewal, and the 14-day refund after a renewal still applies. A change needed to comply with the law or to fix a security problem may apply sooner; we will tell you why. If a change that applies sooner is worse for you and you are a consumer, you may end your plan within 30 days of our email, and we refund the part of the year you have not used, within 14 days, to the payment method you used, in the currency you paid.
For the website and the support desk, a new version applies from its effective date.
19. Complaints and disputes
19.1 Written complaints. You can complain in writing by email to support@gratora.net or through the support desk at gratora.net/support/. We confirm that we have received your complaint without delay, and we answer in writing within 15 days, saying whether we accept it and what we will do.
19.2 Out-of-court dispute resolution. We have not committed to using an out-of-court dispute resolution body.
20. Law and courts
These Terms, and any contract made under them, are governed by the law of the country where Gratora is established. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer, this choice of law does not take away the protection of the mandatory rules of the country where you live. You may bring a claim in the courts of the country where you live or in the courts of the place where Gratora is established, and we will bring any claim against you only in the courts of the country where you live.
If you are a business customer, the courts of the place where Gratora is established have exclusive jurisdiction.
21. Other terms
- Transfer. We may transfer our rights and duties under these Terms to a company that takes over the Gratora business. We will tell you, and it will not reduce your rights. You may transfer a license to another person or organization by asking us. We then move the license and its sites to the new holder’s email address. The new holder should then update the payment method in Billing, and we change the email address that Stripe sends receipts to. Until then, renewals are charged to the original payment method.
- Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as an outage at a hosting or email provider. We will tell you and do what we reasonably can to limit the effect. This does not limit a consumer’s rights under section 12.
- If part of these Terms is invalid, the rest still applies.
- No waiver. If we do not enforce a right immediately, we can still enforce it later.
- How we contact you. We use the email address on your account.
- Entire agreement (business customers). These Terms and your order summary are the whole agreement between us about your plan.
